Namirial, backed by Bain Capital and PSG Equity, agrees to acquire ZeroComa
Madrid-based ZeroComa provides e-invoicing and tax reporting software to more than 650 Spanish clients, including 20% of IBEX 35 companies.
Namirial announced on October 21, 2026 that it has signed an agreement to acquire ZeroComa, a Madrid company providing electronic invoicing, electronic notifications and tax reporting software for Spanish businesses. The purchase price was not disclosed, and closing is subject to customary conditions. Bain Capital, PSG Equity, Ambienta SGR, founder Enrico Giacomelli and the group's management are shareholders of the buyer.
ZeroComa operates the EdasNEO and InvoiZE platforms, which serve more than 650 clients, including 20% of IBEX 35 companies. ZeroComa's management team will stay on to lead Namirial's Spanish e-invoicing business, and co-CEOs Álvaro Allende and Alejandro Allende will join Namirial's shareholder group.
Namirial said the deal strengthens its offering ahead of Spain's mandatory business-to-business electronic invoicing rules.
