Enerpac completes $472 million acquisition of SFE Group
Enerpac closed its purchase of SFE Group, a Houston-based welding and fabrication tool maker owned by a Gladstone Investment portfolio company, for about $472 million.
Enerpac Tool Group said it completed its previously announced acquisition of Specialized Fabrication Equipment Group, a global supplier of specialized fabrication, welding, portable machining and material-handling equipment. The deal was first announced on July 7, 2026.
Enerpac acquired SFE Group from SFEG Holdings, a portfolio company of Gladstone Investment Corporation, for roughly $472 million: about $452 million in cash subject to closing adjustments plus $20 million in equity awards granted in lieu of certain transaction bonuses. The price represents 10.6x trailing adjusted EBITDA, or 9.5x including expected synergies of $4 million to $6 million by year three.
SFE Group generated about $170 million of sales and about $44 million of adjusted EBITDA in the twelve months to March 31, 2026, and operates 12 brands including Climax, B&B Sumner and Axxair. Enerpac funded the purchase with cash on hand, an expanded $300 million term loan and a new $550 million revolver. CEO Paul Sternlieb said the combination broadens Enerpac's addressable market in industrial applications.
