Davion Healthcare agrees to acquire Philadelphia home care provider HSH for $13.5 million
Nasdaq-listed Davion Healthcare agreed to buy Healthcare Stat Homecare, a Philadelphia home healthcare provider, for $8 million cash and $5.5 million in shares.
Davion Healthcare Plc, a developer of non-invasive health monitoring technologies listed on Nasdaq, agreed on 27 October 2026 to acquire Healthcare Stat Homecare Inc. (HSH). Total consideration is $13.5 million, made up of $8 million in cash and $5.5 million in Davion shares issued at $13 per share. Completion is expected on or before 31 December 2026, subject to the agreement's terms.
HSH reported gross receipts of about $11.6 million and ordinary business income of about $1.9 million for 2025, according to unaudited figures in the announcement. Its clinical programmes include wound care, lymphedema management, dementia and diabetes care, telehealth and rehabilitation, and it holds Medicare and Medicaid certifications.
Davion CEO Glenn Williams said the deal is the first in a planned programme of acquisitions of profitable healthcare businesses over the coming year, and would give Davion a direct presence in home healthcare. HSH co-owner and CEO Manilal Mathai said the combination would pair HSH's home care experience with Davion's technology-led approach.
