AURELIUS agrees to buy Hain international business
The estimated $323 million cash deal depends on a lender amendment and would leave Hain focused on North America.
AURELIUS agreed to acquire most of Hain Celestial's International food and beverage business for an estimated $323 million in cash. The sale includes Ella's Kitchen, Joya, Natumi, Hartley's, Linda McCartney Foods and several soup brands.
Hain expects net proceeds of $305 million to $310 million and plans to reduce debt. The deal requires an extension of Hain's credit agreement beyond December 22, 2026; AURELIUS may terminate if the amendment is not secured within 30 days of signing.
Subject to that amendment, regulatory approvals and other conditions, closing is expected in the quarter ending December 31.
