Korn Ferry has agreed to acquire AMS, a UK-headquartered talent acquisition and consulting firm, from OMERS Private Equity in a cash-and-stock deal valued at approximately $1.1 billion.

AMS, founded in 1996, provides recruitment process outsourcing, early careers, contingent workforce, and skills creation services to clients across financial services, technology, healthcare, life sciences, consumer, industrial, and public sectors in more than 120 countries.

The firm generates run-rate fee revenue of about $650 million and EBITDA of $100 million with a workforce of 8,000.

“AMS has made incredible progress over the course of our ownership,” said Michael Block, Head of Private Capital, OMERS.

Korn Ferry will fund the cash portion of the transaction with $300 million of cash on hand and $581 million in revolver borrowings, and issue approximately 3.6 million shares of common stock.

The deal is expected to close in Korn Ferry’s second fiscal quarter of 2027, subject to regulatory approvals.
